CONSTITUTION
FOR
QUINN ROAD COMMUNITY CLUB

ARTICLE I
NAME

The name of this organization shall be Quinn Road Community Club.

ARTICLE II
OBJECTIVES

The objectives shall be to provide community based activities and events for the citizens of the community.

ARTICLE III
MEMBERSHIP AND DUES

Section 1.  All members of the community shall be eligible to join the Committee.

Section 2.  Application for membership shall be made during a regularly scheduled meeting.

Section 3.  The yearly membership dues of the committee members shall be $100.00 annually.  Payment shall be made prior to June 1st of each year.

ARTICLE IV
MEETINGS

Section 1.  Regular meetings of this group shall be held monthly at a time to be fixed by the board.

A.  Any member of the community shall have the opportunity to be presented at all meetings.

Section 2.  Special meetings may be called by the president.

Section 3.  The quorum for meetings of this group shall be two officers and one member at large.

ARTICLE V
EXECUTIVE BOARD OFFICERS AND MEMBERS AT LARGE 

Section 1.  The executive board officers of this group shall be a president, a vice president, a recording-secretary, a secretary-treasurer, and 2 members at large.  These officers shall constitute the group’s executive board.  The above officers shall be elected for a two-year term in the even-numbered years.

Section 2.  There shall be three members elected who shall serve as trustees.  They shall be elected for a two-year term in the even-numbered years.

Section 3.  All executive board officers, upon vacating their office, shall deliver all properties to their successor within 60 days of leaving office.

ARTICLE VI
NOMINATIONS AND ELECTIONS

Section 1.  Nominations and elections of this group shall be held biennially.  Nominations and elections of officers of this group shall be conducted at the February meeting.  At least fifteen-day’ advance notice shall be given the community that nominations and election shall be conducted.

Section 2.  A nominating committee for the group may be appointed by the president or elected prior to the February meeting

Section 3.  Officers shall be elected by secret ballot vote, and the balloting shall be so conducted as to afford to all citizens a reasonable opportunity to vote.  At least 15 days advance notice shall be given prior to the holding of the election.

Section 4.  Vacancies in the office of vice-president, recording secretary or secretary-treasurer shall be filled for the remainder of the unexpired term by vote of the executive board.  In the event the office of the president falls vacant, the vice president shall become president for the remainder of the unexpired term and the office of vice president shall be filled for the remainder of the unexpired term by vote of the executive board.

ARTICLE VII
DUTIES OF OFFICERS AND EXECUTIVE BOARD

Section 1.  The president of this board shall preside at all meetings of this group; countersign all checks drawn against the funds of the group; report periodically to the group regarding the progress and standing of the group regarding his/her official acts.

Section 2.  The vice president of this board shall assist the president in the work of his/her office.  In the absence of the president or his/her inability to serve, the vice president shall preside at all meetings and perform all duties otherwise performed by the president.  The vice president may, with the approval of the executive board, be authorized to act as co-signer of checks drawn on the group’s funds in place of either the president or the secretary-treasurer.

Section 3.  The recording secretary of this board shall keep a record of the proceedings of all meetings.

Section 4.  The secretary-treasurer of this board shall receive and receipt for all monies of the group; shall deposit all money so received in the name of the group in a bank insured by the Federal Deposit Insurance Corporation, and money so deposited shall be withdrawn only by checks signed by the president and the secretary-treasurer, except as otherwise provided shall keep an accurate record of receipts and disbursements and shall, once each month, submit to the group monthly operating statement of the financial transactions of the group for the previous month.

Section 5.  The members at large shall assist the officers in the work of his/her office.

Section 6.  The trustees of this board shall make or cause to be made, an annual audit of the group’s finances, and shall report to the members on the results of such audit.  The annual audit shall be made after the closing of the books for the month of December.

ARTICLE VIII
GENERAL PROVISIONS

Section 1.  Robert’s Rules of Order, Revised, shall be the guide in all cases to which they are applicable and in which they are not inconsistent with this Constitution and special rules of this group.

Section 2.  Officers and/or executive board members shall be reimbursed for mileage and necessary expenses incurred while on official business.

Section 3.  The fiscal year for the committee shall be January 1 to December 31 of each year.

ARTICLE IX
AMENDMENTS

This constitution may be amended, revised, or otherwise changed by a majority vote of the members voting on such proposed change and such change shall take effect only upon written approval of the board. Proposed amendments to this constitution must be read at a regular or special meeting of the committee and red and voted on at a subsequent meeting of the committee.  A written copy of the proposed amendment shall be furnished to every eligible voter at the meeting at which the vote is taken.

  1. At this meetings do we address problems? Such as parking for these factories on the corner near me. Or cutting grass in vacant lots? Or is this simply not that kind of meeting.
